The contractual terms and service commitments governing appointment packages, platform access, and customer acquisition services.
Introduction
These Terms & Conditions govern appointment and related services provided by SEO Ads Services. By purchasing or using our services, the client agrees to these Terms & Conditions, our Refund & Replacement Policy, our Appointment Qualification Policy, and our Privacy Policy.
01.Services
SEO Ads Services provides customer acquisition and qualified appointment services to businesses. Services may include customer qualification, appointment scheduling, appointment delivery, customer information delivery, CRM access, appointment management, and related services.
The client's specific appointment quantity, price, service territory, accepted services, qualification criteria, CRM terms, and other requirements may be stated in an invoice, proposal, order form, written agreement, onboarding record, or other written communication accepted by both parties.
02.Appointment Packages
SEO Ads Services may offer Trial Packages, 10 Appointment Packages, 25 Appointment Packages, 50 Appointment Packages, and custom packages.
A package entitles the client to the applicable number of appointments meeting the agreed qualification criteria. Appointments failing those criteria may qualify for replacement under the Refund & Replacement Policy.
03.Trial Package
The Trial Package is intended to allow a new client to evaluate the service before purchasing a larger appointment package.
The Trial Package itself is a paid service and is non-refundable.
Completing a Trial Package does not obligate the client to purchase another package. Purchasing a larger package after completing the trial constitutes a separate purchasing decision by the client.
Clients uncertain about committing to a larger package are encouraged to use the Trial Package first.
04.CRM Access
CRM availability depends on the package purchased:
CRM access is included at no additional charge while the Trial Package is active.
CRM access is optional and costs $950 per month.
CRM access is optional and costs $950 per month.
CRM access is included at no additional charge while the applicable 50 Appointment Package is active.
Free CRM access does not constitute lifetime access. Included CRM access may end after the applicable package has been completely fulfilled or otherwise terminated.
05.Optional Paid CRM Renewal
Where CRM is purchased separately for $950 per month, access is provided on a month-to-month basis.
SEO Ads Services does not automatically charge a credit or debit card. The client will be required to pay the applicable monthly CRM invoice by bank wire transfer in advance.
CRM access for the next service period may be suspended if payment is not received. Payment of a new monthly CRM invoice constitutes renewal for that service period.
CRM payments are final and non-refundable once received, except where otherwise required by applicable law.
06.Payment Method
All payments to SEO Ads Services must be made by bank wire transfer to the company bank account specified on the applicable invoice or official payment instructions.
SEO Ads Services does not accept credit card or debit card payments for appointment packages unless expressly agreed otherwise in writing.
The client is responsible for sending payment to the correct account, using official wire instructions provided by SEO Ads Services, paying applicable outgoing or intermediary banking fees, ensuring SEO Ads Services receives the full invoice amount, and including any requested invoice or payment reference.
Payment is considered received when cleared funds are credited to the designated company account.
07.Wire Transfer Verification
Clients should verify wire instructions using official SEO Ads Services communications before sending funds.
If a client receives conflicting or unexpected instructions purporting to change our bank account details, the client should independently confirm those instructions with SEO Ads Services before initiating payment.
SEO Ads Services is not responsible for funds voluntarily sent to an incorrect or unauthorized account where the client failed to use or verify the official payment instructions provided by us, except where liability cannot legally be excluded.
08.Payment in Advance
Unless a different written arrangement is agreed, appointment packages must be paid in full before onboarding, setup, qualification, scheduling, or appointment fulfillment.
SEO Ads Services is not required to begin fulfillment until the full invoiced amount has been received.
09.Payments Are Final
All payments are final and non-refundable once received. This includes appointment package payments, Trial Package payments, CRM payments, setup charges, custom service charges, and other amounts stated as non-refundable.
The client's remedy for an appointment that fails the applicable qualification criteria is replacement in accordance with the Refund & Replacement Policy.
No refund is provided merely because the client does not close an appointment, changes their mind, stops using the service, no longer requires the appointments, experiences changed circumstances, closes their business, or obtains results below expectations.
This section applies to the fullest extent permitted by applicable law.
10.Client Onboarding
Before fulfillment begins, the client must provide accurate information regarding services offered, service territory, business hours, appointment availability, contact information, scheduling requirements, qualification criteria, services the client does not accept, and any material restrictions.
SEO Ads Services is entitled to rely on information provided by the client.
11.Changes to Qualification Requirements
The client may request changes to service areas, accepted services, appointment availability, scheduling requirements, or qualification criteria.
A requested change becomes effective only after it has been accepted by SEO Ads Services. Changes are prospective and do not apply retroactively to appointments already qualified, scheduled, or delivered.
12.Client Responsibilities
The client is responsible for maintaining accurate business information, keeping appointment availability current, attending scheduled appointments, responding professionally to customers, following up with prospective customers, maintaining required licenses and insurance, providing lawful services, complying with applicable consumer protection, communication, and privacy laws, keeping account credentials secure, and properly managing customer information.
SEO Ads Services is not responsible for lost business resulting from the client's failure to perform these responsibilities.
13.No Guarantee of Closed Business
SEO Ads Services guarantees only that appointments will meet the applicable qualification criteria or otherwise qualify for replacement under our policies.
We do not guarantee closed sales, signed contracts, revenue, profit, return on investment, project size, customer spending, financing approval, closing rate, or customer retention.
The client's own sales process and business performance remain the client's responsibility.
14.Package Fulfillment
Appointment delivery rates may vary depending on location, service type, qualification criteria, customer demand, customer scheduling, client availability, seasonality, and market conditions.
Unless SEO Ads Services expressly agrees to a fixed deadline in writing, no exact daily or weekly delivery volume is guaranteed. SEO Ads Services will make reasonable efforts to fulfill the purchased appointment quantity.
15.Unused or Remaining Appointments
A client does not receive a refund for an unused or undelivered appointment balance simply because the client decides to stop the service.
The remaining balance may continue to be fulfilled according to the applicable package terms. SEO Ads Services may adjust scheduling or fulfillment timing when reasonably necessary.
16.Appointment Replacements
Appointment replacement requests are governed by the Refund & Replacement Policy and Appointment Qualification Policy.
A request must be made within the stated reporting period (no later than 7 hours after scheduled appointment time). Failure to report an issue within that period may result in the appointment being considered accepted.
17.Customer Information
Customer information provided to the client may be used only for legitimate purposes connected with responding to the customer's service request, conducting the scheduled appointment, providing requested estimates or information, following up regarding the requested service, and managing the resulting customer relationship.
The client may not sell customer information, resell appointments, publish private customer information, transfer customer information to unrelated parties, use information for unlawful purposes, harass customers, or contact customers in violation of applicable law.
18.Compliance With Communication Laws
The client is responsible for ensuring that its own subsequent telephone calls, text messages, emails, marketing communications, and other communications comply with applicable laws and regulations.
SEO Ads Services does not provide legal advice regarding the client's communication practices.
19.No Geographic Exclusivity Unless Agreed
Unless expressly stated in writing, purchasing an appointment package does not grant exclusive rights to a ZIP code, city, county, state, service category, market, or geographic territory.
Any exclusivity arrangement must be separately agreed in writing.
20.Client Conduct
Clients must treat prospective customers professionally and lawfully.
SEO Ads Services may suspend or terminate service where a client engages in fraud, harassment, threats, material misrepresentation, illegal business practices, misuse of customer information, repeated serious customer complaints, or discriminatory conduct prohibited by law.
Termination for client misconduct does not create an entitlement to a refund.
21.CRM and Technology
SEO Ads Services may provide access to CRM systems, scheduling systems, communication tools, dashboards, telephone systems, and third-party technology.
Technology may occasionally experience downtime, maintenance, delays, errors, or third-party service interruption. Continuous or uninterrupted availability is not guaranteed.
22.Intellectual Property
SEO Ads Services or its licensors retain ownership of applicable branding, website content, written materials, software, systems, processes, documentation, and other intellectual property.
Nothing in the purchase of an appointment package transfers ownership of SEO Ads Services intellectual property to the client.
23.Confidential Information
Each party may receive non-public information belonging to the other. Each party agrees to take reasonable care to protect confidential information and to use it only for legitimate purposes relating to the business relationship.
24.Suspension and Termination
SEO Ads Services may suspend or terminate service for failure to pay, fraud, abuse, illegal conduct, material policy violations, misuse of customer information, threatening conduct, or material breach of these Terms.
Termination due to client misconduct, breach, or non-payment does not create a right to a refund.
25.Bank Payment Disputes
Clients should contact SEO Ads Services directly regarding any payment or service dispute before attempting to recall, reverse, challenge, or otherwise dispute a bank wire transfer.
A service complaint does not alter the Refund & Replacement Policy. Where an appointment is determined to be invalid, the applicable remedy is a replacement appointment rather than a cash refund.
Nothing in these Terms restricts rights or remedies that cannot legally be waived.
26.Disclaimer of Warranties
Except for the express appointment qualification commitments contained in our policies, services are provided on an “as available” basis to the fullest extent permitted by law.
No additional warranty is created unless expressly agreed in writing.
27.Limitation of Liability
To the fullest extent permitted by applicable law, SEO Ads Services will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including alleged lost profit, lost revenue, lost business, lost contracts, or lost opportunities.
To the fullest extent permitted by law, SEO Ads Services' total liability arising out of a particular package or claim will not exceed the amount actually paid to SEO Ads Services for the package giving rise to that claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
28.Indemnification
To the extent permitted by law, the client agrees to indemnify and hold SEO Ads Services harmless from third-party claims, liabilities, losses, damages, and reasonable costs arising from the client's services, conduct, communications with customers, violation of applicable law, breach of these Terms, or misuse of customer information.
29.Independent Businesses
SEO Ads Services and the client are independent businesses. Nothing in these Terms creates employment, partnership, joint venture, franchise, fiduciary relationship, or agency relationship between SEO Ads Services and the client.
30.Dispute Resolution
Before filing a legal claim, both parties agree to make a reasonable good-faith effort to resolve the matter directly.

These Terms do not designate a specific governing jurisdiction or venue. Any governing law, venue, arbitration, or dispute forum agreed in a separately signed written agreement will control to the extent applicable.
31.Changes to These Terms
SEO Ads Services may update these Terms from time to time. Any revised version will be posted on seoadsservices.com with an updated last updated date. Changes will apply prospectively unless otherwise permitted by applicable law.
32.Entire Agreement
These Terms, together with applicable invoices, accepted proposals or orders, the Refund & Replacement Policy, the Appointment Qualification Policy, the Privacy Policy, and any separately signed written agreement form the agreement governing the applicable services.
If a separately signed written agreement expressly conflicts with these Terms, that signed agreement controls to the extent of the conflict.
